Registering a company in Georgia

Georgia offers one of the simplest company registration processes in the region. When that route makes sense — and when it does not.


Why Georgia

Georgia has ranked well on ease-of-doing-business measures for years. Registering a company here is generally faster, cheaper, and less bureaucratic than in most countries in the region.

There are also no ownership restrictions for foreign nationals: you can hold 100% of your company's shares without a local partner.

The common structures

The usual vehicle for commercial activity is the limited liability company (LLC). For smaller-scale individual activity, registering as an individual entrepreneur is the simpler option.

Georgia also offers special tax regimes that apply in specific circumstances — including Small Business Status for individual entrepreneurs with turnover below a set ceiling, and Virtual Zone status for IT companies serving clients outside Georgia. Qualifying for either has its own precise conditions and needs to be assessed separately.

Important: do not conflate a company with residency

We state this emphatically because it is the source of expensive mistakes: registering a company does not by itself grant a residence permit.

Further, if you register the property to the company rather than to yourself personally, it may no longer support your personal residency — because in that case the owner is the company, not you. If residency is your goal, examine this before deciding on an ownership structure.

When registration makes sense

If you intend to conduct genuine economic activity in Georgia — running a business, providing services, or managing several rental properties — a corporate structure can be sensible.

But if you simply want to buy one property and obtain residency, adding a corporate layer usually introduces accounting and tax obligations without a proportionate benefit.
